These Terms & Conditions govern your use of the One Cloud Utopia website, our AI assistant and the forms and content we make available. Please read them before using the Site.
If you engage us for consulting services, a separate signed agreement will govern that work and will take precedence over these Terms.
1.Acceptance of These Terms
These Terms & Conditions ("Terms") are a binding agreement between you and One Cloud Utopia LLC ("OCU", "we", "us"), a limited liability company organized under the laws of the State of Wyoming, United States, together with its affiliate One Cloud Utopia Pvt. Ltd. of Kathmandu, Nepal.
By accessing onecloudutopia.com (the "Site"), using our AI assistant, submitting a form or otherwise interacting with our online services, you agree to these Terms. If you do not agree, please do not use the Site.
If you are using the Site on behalf of an organisation, you confirm that you have authority to bind that organisation, and "you" means both you and that organisation.
2.What the Site Provides
The Site is an informational and marketing platform. Through it you can:
- Read about our AWS cloud consulting, migration, data analytics, security and managed services.
- Browse blog posts, case studies, events and open positions.
- Submit a contact enquiry, request an event, or apply for a role.
- Comment on blog posts.
- Ask questions of our AI assistant.
Nothing on the Site is an offer to contract. Consulting services are provided only under a separately signed Master Services Agreement and Statement of Work, which prevail over these Terms in the event of a conflict.
3.Eligibility
You must be at least 16 years old, or the age of digital majority in your jurisdiction, to use the Site. The Site is intended for business users, not consumers seeking personal cloud services.
You may not use the Site if you are subject to sanctions under applicable US, EU, UK or Nepali law, or if applicable law prohibits you from receiving our services.
4.Acceptable Use
You agree not to:
- Use the Site for any unlawful purpose, or in violation of these Terms or any applicable law.
- Submit false, misleading, defamatory, harassing, obscene or infringing content through any form, comment or chat message.
- Impersonate another person or misrepresent your affiliation with any person or organisation.
- Upload files containing malware, or attempt to introduce any harmful code into the Site or our infrastructure.
- Attempt to gain unauthorised access to the Site, the admin dashboard, our APIs, or any server, account or network connected to them.
- Probe, scan or test the vulnerability of the Site, or breach or circumvent any security or authentication measure, except under a written authorisation from us.
- Scrape, crawl or harvest content or contact details at a scale or rate that degrades the Site, or use automated means to bypass rate limits.
- Use the Site or its content to train machine-learning models, or to build a competing product or service.
- Send unsolicited commercial messages, spam or chain communications through our forms.
We may investigate suspected breaches and, without notice, remove content, restrict or block access, and report unlawful activity to the relevant authorities.
5.Content You Submit
"User Content" means anything you submit through the Site: enquiry and event-request messages, résumés and cover letters, blog comments and chat messages.
Your responsibility
You are solely responsible for your User Content. You confirm that you own it or have the rights to submit it, that it is accurate, and that it does not infringe anyone's intellectual property, privacy or other rights. Where you submit personal information about another person, you confirm you have a lawful basis to do so.
Licence to us
You grant OCU a non-exclusive, worldwide, royalty-free licence to host, store, reproduce and use your User Content for the purpose of operating the Site and responding to you. For blog comments and anything else you post publicly, that licence also covers displaying and distributing the content on the Site. This licence ends when the content is deleted, except for backup copies retained for a limited period and any content we must keep by law.
Feedback
If you send us ideas, suggestions or feedback about our services or the Site, we may use them freely and without obligation, compensation or confidentiality.
Moderation
We may review, edit, refuse to publish or remove any User Content at our discretion, including comments that are off-topic, promotional or abusive. We are not obliged to monitor User Content, and we do not endorse opinions expressed in comments.
6.AI Assistant Terms
Our AI assistant is powered by Amazon Bedrock and generates answers automatically.
- Outputs may be inaccurate, incomplete or out of date. Verify anything important with a member of our team before relying on it.
- Outputs are not professional, legal, financial, security or architectural advice, and are not a quote, proposal, commitment or warranty by OCU.
- Do not submit confidential, proprietary, personal or regulated data into the assistant.
- Do not attempt to manipulate the assistant into producing harmful, unlawful or off-topic output, and do not use it to generate content at scale or to extract training data.
- We may log, review and analyse conversations to improve the service, as described in our Privacy Policy.
We may change, limit or discontinue the assistant at any time.
7.Job Applications and Event Requests
Submitting a job application does not create an employment relationship, an offer, or any obligation on us to consider or respond to your application. Information you provide must be accurate; material misrepresentation may end consideration at any stage.
Submitting an event request is a request only. An event is confirmed solely when we confirm it in writing, and any commercial terms are agreed separately.
8.Intellectual Property
The Site and its content (text, graphics, logos, imagery, case studies, blog posts, page designs, code and the arrangement of all of it) are owned by OCU or its licensors and are protected by copyright, trade mark and other laws.
We grant you a limited, revocable, non-transferable licence to access and view the Site for your internal business evaluation purposes. You may share individual articles by link and quote short extracts with attribution.
You may not otherwise copy, reproduce, republish, modify, distribute, sell or create derivative works from the Site or its content without our prior written permission.
"One Cloud Utopia", "OCU" and our logos are our trade marks. "Amazon Web Services", "AWS", "Amazon Bedrock" and related marks belong to Amazon.com, Inc. or its affiliates; our use of them reflects our partner relationship and does not imply that Amazon endorses these Terms. Other names on the Site belong to their respective owners.
9.Third-Party Links and Services
The Site links to third-party websites and relies on third-party services such as AWS and Google Analytics. We do not control those sites or services and are not responsible for their content, availability, terms or privacy practices. Following a link is at your own risk, and the third party's terms will govern your use of it.
10.Availability and Changes
The Site is provided on an "as available" basis. We do not guarantee uninterrupted or error-free access, and we may suspend, withdraw or restrict all or part of the Site for maintenance, security or business reasons without notice.
We may change, add to or remove content, features and these Terms at any time. Material changes to the Terms will be posted here with an updated "Last updated" date, and continued use after that date means you accept the revised Terms.
11.Disclaimers
The Site and all content, including case studies, benchmarks, architectural guidance and AI-generated answers, are provided for general information only, "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy and non-infringement.
Case studies and results described on the Site reflect specific client circumstances and are not a prediction or guarantee of results in your environment.
Nothing on the Site constitutes professional advice. You should obtain advice appropriate to your own circumstances before acting on anything you read here.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
12.Limitation of Liability
To the fullest extent permitted by law, OCU, its affiliates, directors, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to your use of the Site, even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to the Site and these Terms will not exceed one hundred United States dollars (USD 100).
These limits do not apply to liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
Liability for paid consulting services is governed exclusively by the Master Services Agreement covering those services, not by this section.
13.Indemnity
You agree to indemnify and hold harmless OCU and its affiliates, officers, employees and agents from any claim, demand, loss, liability or expense (including reasonable legal fees) arising from your User Content, your use of the Site, or your breach of these Terms or of any law or third-party right.
14.Suspension and Termination
We may suspend or terminate your access to the Site at any time, without notice, if we reasonably believe you have breached these Terms or if we need to protect the Site, our users or our business.
Sections that by their nature should survive (including Content You Submit, Intellectual Property, Disclaimers, Limitation of Liability, Indemnity and Governing Law) survive any termination.
15.Governing Law and Disputes
These Terms and any dispute arising out of them or the Site are governed by the laws of Nepal, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You and OCU agree to the exclusive jurisdiction of the courts of Kathmandu, Nepal, and waive any objection to venue there. Nothing prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
Before starting formal proceedings, the parties will attempt in good faith to resolve the dispute by writing to legal@onecloudutopia.com and allowing 30 days for a response.
Where local law gives you mandatory rights or a mandatory forum, for example as a consumer in the EEA or UK, this section does not remove them.
16.General
- Entire agreement: these Terms, with the Privacy Policy, form the entire agreement between you and OCU about the Site and replace any earlier understanding on that subject.
- Severability: if any provision is found unenforceable, it will be limited or removed to the minimum extent necessary and the rest remains in force.
- No waiver: our failure to enforce any right is not a waiver of it.
- Assignment: you may not assign these Terms without our written consent; we may assign them to an affiliate or in connection with a merger or sale of assets.
- No third-party beneficiaries: these Terms do not give rights to anyone other than you and OCU.
- Force majeure: neither party is liable for delays or failures caused by events beyond its reasonable control.
- Language: these Terms are written in English, which is the controlling version of any translation.
